The BVI Incubator Fund: a first fund with a regulated track record

The Incubator Fund lets a start-up manager run a real, regulated fund with real investors before committing to a full structure. Fundtec coordinates the launch through Unefund and keeps the books to the standard the fund will need when it converts.

In one minute

What

A BVI Incubator Fund is a light-touch regulated fund under the British Virgin Islands Securities and Investment Business Act (SIBA) designed for emerging managers: up to 20 sophisticated private investors, a minimum initial investment of US$20,000 per investor, net assets capped at US$20 million, and an initial life of two years (extendable once by up to 12 months) before it converts to an Approved, Private or Professional Fund or winds down. Fundtec launches Incubator Funds with Unefund and provides accounting, investor records and reporting from the first subscription.

What an Incubator Fund is for

The Incubator Fund exists so that a manager with a strategy, a handful of committed investors and no institutional track record can run a real fund without the cost of a full structure. Investors must be sophisticated private investors and must acknowledge in writing that the fund is not subject to the full supervisory regime that applies to Private and Professional Funds.

Because the limits are hard (20 investors, US$20 million in net assets and two years), the Incubator Fund is a stage, not a destination. The regulations expect the fund either to convert to an Approved, Private or Professional Fund or to wind down when it reaches a limit or the end of its term. Managers who treat those two years as a track-record build, with institutional-standard books from the first day, convert with the least friction.

How to launch a BVI Incubator Fund

Fundtec coordinates the launch through Unefund, its fund-launch desk, and runs the operations from the first subscription. Timings are indicative and depend on the completeness of the application.

Week 1

Structure and documents

Incorporate the BVI business company or form the partnership, appoint directors, and prepare the offering document and subscription agreement reflecting the Incubator limits and investor acknowledgements.

Week 1–2

FSC application

File the application with the FSC with the constitutional documents, offering document, director details and the prescribed fee. The fund may commence business two business days after a complete filing, subject to the FSC’s acceptance.

Week 2–3

Banking and investor onboarding

Open the bank account, complete KYC and AML on each investor, collect the written sophisticated-investor acknowledgements and record the first subscriptions in the investor register.

Ongoing

Operations from day one

Fundtec maintains the books on Tychi, values the portfolio, prepares NAV packs on the agreed cadence, keeps the investor register and produces the semi-annual returns and annual unaudited financial statements for the FSC.

What the FSC filing needs

  • Certificate of incorporation or formation and constitutional documents
  • Offering document or term sheet reflecting the Incubator Fund limits
  • Written investment warning and investor acknowledgements for sophisticated private investors
  • Details of at least two directors, one an individual, and of the authorised representative
  • Description of the investment strategy and the fund’s administration arrangements
  • Application fee and, after approval, the annual fee

Incubator Fund or Approved Fund?

Both are light-touch products for small funds. The difference is time and who is expected to invest.

  • Instead of Up to 20 sophisticated private investors, instead: Up to 20 investors, typically family, friends and close associates
  • Instead of US$20,000 minimum; US$20 million net asset cap, instead: No minimum investment; US$100 million net asset cap
  • Instead of Two years, extendable once by up to 12 months, instead: No time limit
  • Instead of Built to convert or wind down, instead: Built to stay small for as long as it suits the manager
  • Instead of No administrator, custodian or auditor required, instead: Must appoint an administrator; no custodian or auditor required

From Incubator Fund to the fund it becomes

Trigger

Approaching 20 investors, US$20 million in net assets, or the end of the two-year term (or its extension).

Choose the target

Approved Fund to stay small without a time limit; Private Fund for up to 50 investors or private invitations; Professional Fund for professional investors with a US$100,000 minimum.

Appoint functionaries

Approved Funds need an administrator; Private and Professional Funds need an administrator, a custodian and an auditor unless exempted. Fundtec can act as administrator on conversion.

File and continue

Apply to the FSC for recognition or approval as the new category. Opening balances carry over from the Incubator Fund’s books without a re-keying exercise.

Frequently asked questions

Who can invest in a BVI Incubator Fund?

Sophisticated private investors only: individuals or entities invited to invest who have been given a written investment warning, have acknowledged it, and invest at least US$20,000. The fund may have no more than 20 such investors at any time.

How long can a fund stay an Incubator Fund?

Two years from the date the FSC approves it, with one extension of up to 12 months available on application. Before the term ends, or on breaching the 20-investor or US$20 million limits, the fund must apply to become an Approved, Private or Professional Fund or wind down.

Does an Incubator Fund need an administrator or auditor?

Not by regulation. An Incubator Fund is not required to appoint an administrator, custodian, manager or auditor, and it files unaudited financial statements. Most managers still keep institutional-standard books from day one, because those records become the track record and the opening balances of the fund it converts into.

How quickly can a BVI Incubator Fund start?

Once a complete application is filed with the FSC, an Incubator Fund may commence business two business days later, subject to the FSC not objecting. In practice, the pace is set by document preparation, director appointments and bank account opening rather than by the regulator.

What does Fundtec do for an Incubator Fund?

Fundtec coordinates the launch through its sister firm Unefund, then runs fund accounting, NAV, the investor register, KYC and AML, FSC returns and the annual financial statements on its Tychi platform, and prepares the fund for conversion when it reaches a limit or the end of its term.
