Luxembourg fund administration support for RAIF, SIF, SCSp and UCITS
Luxembourg is Europe’s largest fund domicile and the home of the EU marketing passport. Fundtec supports the accounting, investor services and reporting work behind Luxembourg vehicles, alongside the local central administration agent.
In one minute
Luxembourg fund administration is the NAV, accounting, investor services and reporting for funds domiciled in Luxembourg, including RAIFs, SIFs, SICARs, SCSp partnerships and UCITS SICAVs supervised by the CSSF. Fundtec supports this work as an operational and middle-office partner, and coordinates launches through Unefund, while regulated central administration, depositary and AIFM roles are held by Luxembourg-authorized providers.
Managers launching or administering a fund in this domicile who need its filings, functionaries and calendar handled correctly from day one.
A 30-minute scoping call, then a written plan: scope, the transition timeline and indicative pricing. No generic proposal.

Why managers choose Luxembourg
Luxembourg’s draw is market access. A Luxembourg alternative investment fund managed by an authorized EU AIFM can be marketed to professional investors across the EU under the AIFMD passport, and a UCITS can be distributed to retail investors across the EU and in many other markets. Luxembourg also offers a deep ecosystem of depositaries, central administrators, auditors and management companies.
The trade-off is structure and substance. Luxembourg funds need local service providers and, for AIFs, an authorized AIFM. Many non-EU managers use a third-party AIFM, often called a ManCo, to access the passport without building their own authorized entity. The AIFMD II amendments applying from 2026 add rules on delegation, liquidity management tools and loan-origination funds that managers should review with their AIFM.
Luxembourg fund vehicles: RAIF, SIF, SICAR, SCSp and UCITS
The [RAIF](/glossary/raif) (reserved alternative investment fund) is not approved by the CSSF itself. It must appoint an authorized AIFM, which is supervised, and is open to well-informed investors. That removes regulatory approval from the launch timeline while keeping passport access, making the RAIF the default for many private equity, real estate and private credit launches.
The SIF (specialized investment fund) is CSSF-approved and supervised, open to well-informed investors, and remains in use where investors specifically want a product-regulated fund. The SICAR is a CSSF-supervised vehicle for investment in risk capital, typically private equity and venture capital.
The [SCSp](/glossary/scsp) (special limited partnership) has no legal personality and offers contractual flexibility similar to a limited partnership in common-law jurisdictions. The SCS is a common limited partnership with legal personality. Either can be unregulated, or can take RAIF or SIF status. The UCITS SICAV is the passported retail fund for liquid strategies, subject to diversification, liquidity and eligible-asset rules; Part II funds under the 2010 law cover other retail-capable alternatives.

What Luxembourg funds need from operations
Luxembourg funds must meet demanding reporting standards: audited annual reports under Luxembourg GAAP or IFRS, investor reporting, AIFMD Annex IV data for the AIFM, and for UCITS, KID and risk reporting. The central administration agent is responsible for the official NAV and register, but managers still need their own accurate view. Fundtec supports managers with shadow accounting, investor data, capital accounts and reporting packs that tie out to the official books. Managers comparing Luxembourg with offshore options often weigh it against Jersey or the Cayman Islands.
Closed-ended Luxembourg partnerships add their own operational demands: capital call and distribution notices, equalization when later investors are admitted, waterfall and carried interest calculations, and quarterly investor reporting aligned with industry templates. Multi-currency commitments and parallel or feeder vehicles are common. Agreeing who calculates what, and how figures are reconciled between the manager’s books and the central administrator’s official records, is one of the most useful decisions to make before first close.

Ask a specialistFrequently asked questions
What is a Luxembourg RAIF?
A RAIF, or reserved alternative investment fund, is a Luxembourg fund that is not approved by the CSSF but must be managed by an authorized AIFM. It is open to well-informed investors and can use the AIFMD marketing passport. Because it avoids product approval, a RAIF can usually launch faster than a SIF or SICAR.
What is the difference between a RAIF and a SIF?
Both are open to well-informed investors and can be structured as companies, partnerships or contractual funds. A SIF is approved and supervised directly by the CSSF. A RAIF is not, but its authorized AIFM is. Managers choose a SIF when investors want a product-regulated fund, and a RAIF when speed to market matters.
What is an SCSp used for?
An SCSp, or special limited partnership, is a Luxembourg partnership without legal personality, offering flexibility similar to an English or Delaware limited partnership. It is widely used for closed-ended private equity, real estate and credit funds, co-investment and carried-interest vehicles, either unregulated or with RAIF or SIF status.
Do Luxembourg funds need an AIFM?
Alternative investment funds in Luxembourg need an AIFM. Funds above the AIFMD thresholds, and any RAIF, must appoint a fully authorized AIFM. Sub-threshold managers may register instead but lose the marketing passport. Non-EU managers commonly appoint a third-party Luxembourg AIFM to gain passport access.
When should a manager choose a UCITS SICAV?
A UCITS SICAV suits liquid strategies that will be distributed to retail or broad institutional audiences across the EU. It carries rules on diversification, eligible assets, liquidity and leverage, plus KID and risk reporting. Less liquid or concentrated strategies usually fit an AIF such as a RAIF or SIF instead.
Can Fundtec act as a Luxembourg central administrator?
No. Fundtec is not authorized in Luxembourg and does not act as central administration agent, depositary or AIFM. We support managers and administrators with shadow accounting, investor data, reporting and middle-office operations, and coordinate launches through Unefund with Luxembourg-authorized providers.
How long does it take to launch a Luxembourg fund?
An unregulated SCSp or a RAIF can often launch within a few weeks once the AIFM, depositary and documents are in place, because there is no CSSF product approval. SIFs, SICARs and UCITS typically take several months because of CSSF review. Appointing the AIFM and agreeing service provider terms often sets the pace.
Who is a well-informed investor in Luxembourg?
A well-informed investor is an institutional or professional investor, or another investor who confirms in writing that they qualify and either invests at least EUR 100,000 or is assessed by a credit institution, investment firm or management company as able to understand the investment. The definition applies to SIFs, SICARs and RAIFs. Confirm current rules with counsel.
