What a Singapore VCC is

The Variable Capital Company is a corporate fund structure introduced in 2020. It can issue and redeem shares at NAV without shareholder approval, pay dividends out of capital, and keep its shareholder register confidential from the public. It can be open- or closed-ended and used for traditional, hedge, private equity, venture and real estate strategies.

A VCC can be standalone or an umbrella with multiple sub-funds. The assets and liabilities of each sub-fund are segregated, so one sub-fund’s liabilities cannot be met from another’s assets. That makes the umbrella VCC functionally similar to a segregated portfolio company in Cayman or the BVI, and each sub-fund needs its own books, NAV and investor register. Foreign corporate funds can also re-domicile into Singapore as VCCs, subject to conditions.

Because a VCC is a company, it has directors with fiduciary duties, including at least one director resident in Singapore, and its financial statements are audited by a Singapore auditor. AML/CFT obligations apply directly to the VCC under MAS requirements and are typically discharged through the fund manager. For operations teams, the practical consequences are sub-fund-level books, clear allocation of umbrella-level expenses and board reporting that covers every sub-fund.

Fund manager licensing in Singapore

A VCC must be managed by a permissible fund manager, typically a Licensed Fund Management Company (LFMC) holding a Capital Markets Services licence for fund management. LFMCs are split into those serving only accredited and institutional investors and those also serving retail investors, with different base capital and competency requirements. Venture capital managers may instead use the lighter Venture Capital Fund Manager (VCFM) regime.

The former Registered Fund Management Company (RFMC) regime, which let small managers register rather than license, has been repealed, so new managers should plan for LFMC or VCFM status. Capital, staffing and resident-professional requirements change periodically and should be confirmed with Singapore counsel and against current MAS guidance.

Singapore feeder, Cayman master: a common pattern

Many Asia-based managers run a master-feeder structure in which a Singapore VCC acts as a feeder alongside a Cayman feeder, both investing into a Cayman master fund. The Singapore feeder serves investors who prefer an onshore Asian vehicle; the Cayman feeder serves global investors; a Delaware feeder may be added for US taxable investors. Others use a VCC as the master, with offshore feeders.

Either way, the administrator must allocate master-level P&L across feeders, keep each feeder’s investor register and reconcile intercompany balances every period. Singapore tax incentive schemes for funds (commonly referred to as sections 13O and 13U) have conditions around local spending, investment professionals and AUM that the manager must evidence annually, and the fund accounts support that evidence.

What a Singapore VCC needs before launch

  • A permissible fund manager, such as an LFMC, or a VCFM for qualifying venture funds
  • At least one Singapore-resident director and a company secretary
  • A Singapore auditor appointed for the VCC
  • Constitution and offering documents for the VCC and each sub-fund
  • AML/CFT framework under MAS requirements for VCCs
  • Bank, custody and brokerage accounts for each sub-fund
  • Tax incentive analysis and, where relevant, applications
  • An operating model for sub-fund NAV, investor registers and reporting

Frequently asked questions

What is a Singapore Variable Capital Company?

A Variable Capital Company is a Singapore corporate fund vehicle that can issue and redeem shares at NAV, pay dividends from capital and keep its shareholder register private. It can be standalone or an umbrella with segregated sub-funds, and suits open- and closed-ended strategies. It must be managed by a permissible fund manager.

Who can manage a Singapore VCC?

A VCC must be managed by a permissible fund manager, typically a Licensed Fund Management Company holding a Capital Markets Services licence, or a registered Venture Capital Fund Manager for qualifying venture funds. Certain exempt financial institutions may also act. The former RFMC registration regime has been repealed.

How does a VCC umbrella differ from a Cayman SPC?

Both segregate assets and liabilities between sub-funds or portfolios under one entity. A VCC umbrella is a Singapore vehicle managed by a Singapore-regulated manager and may access Singapore tax incentives, while a Cayman SPC sits in Cayman under CIMA oversight. Operationally both need separate books, NAV and registers for each sub-fund.

Why use a Singapore feeder with a Cayman master?

A Singapore VCC feeder lets investors who prefer an Asian onshore vehicle access the same portfolio as global investors in a Cayman feeder, with trading consolidated in a Cayman master. It suits Singapore-based managers raising from both regional and global allocators. The administrator allocates master results to each feeder every period.

Do Singapore funds need a local fund administrator?

A VCC must appoint a permissible fund manager, a Singapore auditor and a company secretary. Many VCCs also appoint a Singapore-based fund administrator, and some tax incentive schemes consider local business spending. Requirements should be confirmed with Singapore counsel. Fundtec supports the operational work alongside the regulated providers.

How long does it take to set up a Singapore VCC?

Incorporating a VCC with ACRA can be quick once the fund manager, directors and documents are in place. The longer lead time is usually fund manager licensing, which typically takes several months, and tax incentive applications. Managers already licensed by MAS can move considerably faster.

Can an existing Cayman fund re-domicile to Singapore as a VCC?

Yes, subject to conditions. Singapore allows foreign corporate funds with equivalent structures to transfer their registration and become VCCs, provided the home jurisdiction permits it. The fund keeps its identity and track record. Counsel should review the legal, tax and investor-consent steps, and the administrator should plan the transition of books and registers.

Does a VCC need separate accounts for each sub-fund?

Yes. Each sub-fund of an umbrella VCC has segregated assets and liabilities, so it needs its own books, NAV, investor register and bank or custody accounts. Financial statements may be prepared at the umbrella level with sub-fund detail. Clean segregation from day one simplifies audit and investor reporting.
