How the Mutual Fund and Hedge Fund Act 2008 works
The Mutual Fund and Hedge Fund Act 2008 is the core statute for collective investment schemes in Seychelles. It sets out a three-tier regime, each tier with an increasing level of regulation to match the investor protection needed. Fund administrators, fund managers and custodians are licensed functionaries under the Act, and related securities business falls under the Securities Act 2007.
A [private fund](/glossary/private-fund) may have no more than 50 investors and may not make an invitation to the public to subscribe. A [professional fund](/glossary/professional-fund) may only be acquired by professional investors, with an initial minimum investment of at least US$100,000 per investor. A public fund may be offered to the public and carries the fullest requirements, including prospectus obligations.

When Seychelles makes sense, and what investors will expect
Seychelles tends to suit managers who want a regulated offshore fund at modest cost, particularly with investor bases in Africa, the Middle East, Asia or Eastern Europe. It is less common for funds targeting large US or European institutions, which usually expect a Cayman, BVI or Luxembourg vehicle.
Whatever the tier, banks and investors will look for documented AML and KYC procedures, a clear valuation policy, an accurate investor register and reconciled financial statements. Seychelles participates in automatic exchange of information, so CRS and FATCA classification is part of onboarding. A strong operational file shortens bank onboarding and makes a later migration to another domicile easier.
Seychelles also offers protected cell companies, which let a manager run several strategies or investor groups in segregated cells under one entity. Each cell needs its own books, NAV and register, and the administrator must keep assets and liabilities strictly separated. Where a manager expects to add strategies over time, a cell structure can reduce the cost and time of launching each new portfolio.
Private fund or professional fund: how to choose
A private fund suits a manager with a defined circle of investors, such as a family, a group of business partners or a small club, where the investor count will stay at or below 50 and there is no need to approach the public. It has no statutory minimum investment, which helps when investors want to commit smaller amounts.
A professional fund suits a manager raising from professional investors who can meet the US$100,000 minimum. It is the better fit if the fund expects to grow beyond 50 investors. Professional investors, banks and brokers will also expect a licensed administrator, an audit and institutional-standard reporting.
Public funds are rarely the right starting point for an alternative manager, because of prospectus and investor-protection obligations. Counsel should confirm eligibility and ongoing requirements for the chosen tier before documents are drafted.
What a Seychelles fund needs before launch
- Fund tier (private, professional or public) confirmed with Seychelles counsel
- Fund vehicle, such as an international business company or protected cell company
- Offering document and subscription agreement reflecting the tier’s conditions
- FSA-licensed fund administrator and other required functionaries
- AML/CFT procedures and investor eligibility evidence
- Bank and brokerage accounts in the fund’s name
- Valuation policy and an operating model for NAV and investor reporting
Ongoing obligations for Seychelles funds
After launch, a Seychelles fund must pay annual FSA fees, keep its offering document current, maintain proper accounting records and an investor register, and file financial statements as required for its tier. It must also apply AML/CFT controls to every subscription and redemption and complete FATCA and CRS reporting each year. Changes to functionaries or material terms generally require notice to, or approval from, the FSA. A reliable administrator calendar keeps these deadlines visible.

Ask a specialistFrequently asked questions
What types of funds are available in Seychelles?
Seychelles offers three tiers under the Mutual Fund and Hedge Fund Act 2008: private funds with no more than 50 investors and no public invitation, professional funds limited to professional investors investing at least US$100,000, and public funds that can be offered to the public. Each tier carries increasing regulatory requirements.
Who regulates Seychelles investment funds?
The Financial Services Authority (FSA) Seychelles regulates mutual funds and hedge funds under the Mutual Fund and Hedge Fund Act 2008, along with the fund administrators, managers and custodians that serve them. It licenses funds and functionaries, collects annual fees and supervises ongoing compliance.
What is the minimum investment for a Seychelles professional fund?
A Seychelles professional fund requires an initial minimum investment of at least US$100,000 per investor, and its interests may only be acquired by professional investors. This threshold is set by the Mutual Fund and Hedge Fund Act 2008. Counsel should confirm investor eligibility at onboarding.
Is a Seychelles private fund suitable for a first-time manager?
It can be. A private fund with up to 50 investors offers a regulated, cost-efficient vehicle for a manager building a track record with a known investor group. Managers targeting US or European institutions may later need a Cayman, BVI or Luxembourg vehicle, so clean NAV history and investor records from day one matter.
Does a Seychelles fund need an audit?
Audit requirements depend on the tier and the fund’s constitution. Professional and public funds are generally expected to produce audited financial statements, and most investors and banks expect an audit even where it is optional. Confirm current FSA requirements with Seychelles counsel.
Is Fundtec licensed in Seychelles?
No. Fundtec does not hold a Seychelles licence. Where a Seychelles fund must appoint an FSA-licensed administrator or other functionary, that role sits with a licensed provider. Fundtec provides fund accounting, investor services, reporting and launch coordination as the operational team.
Can a Seychelles private fund have more than 50 investors?
No. A Seychelles private fund may have no more than 50 investors and may not make an invitation to the public. A fund that expects to exceed that number should consider a professional fund, which is open only to professional investors and requires a US$100,000 minimum initial investment per investor.
What ongoing filings does a Seychelles fund have?
A Seychelles fund pays annual FSA fees, keeps its offering document current, maintains accounting records and an investor register, files financial statements as its tier requires, and completes FATCA and CRS reporting. Changes to functionaries or material terms usually require notice to or approval from the FSA. Counsel should confirm the current list.
