Venture capital fund accounting for funds, SPVs and early-stage instruments

Venture managers run many small positions across funds and SPVs. Fundtec keeps instruments, cap tables and LP capital accounts accurate without adding back-office headcount.

In one minute

What

Venture capital fund accounting records a VC fund’s commitments, capital calls, early-stage investments and LP capital accounts. It includes SAFEs, convertible notes, preferred equity and SPVs. Fundtec provides VC fund accounting, cap table tracking, SPV and fund-of-one administration support, capital call processing and K-1 preparation support for venture managers, on Tychi or the manager’s existing systems.

Who it’s for

Managers running this strategy who want administration and operations that already understand its accounting, valuation and investor-reporting demands.

What happens first

A 30-minute scoping call, then a written plan: scope, the transition timeline and indicative pricing. No generic proposal.

Why venture capital operations need their own approach

A venture fund may hold dozens of early-stage positions, many of them instruments that are not yet equity. SAFEs and convertible notes carry valuation caps, discounts and conversion triggers. Follow-on rounds change ownership percentages. Each event must reach the fund’s books and the LP reports correctly.

Many managers also run deal-by-deal SPVs or a fund-of-one for a single anchor LP alongside the main fund. Each is a separate entity with its own investors, fees, bank account and tax reporting. Fundtec treats every vehicle as a standard template, so a new SPV adds work at a known, predictable rate.

How venture fund reporting stays consistent across vehicles

Every vehicle, whether the main fund, an SPV or a fund-of-one, runs on the same chart of accounts, the same close checklist and the same LP statement layout. Capital calls are calculated from one commitment register, and side letter terms such as fee discounts or excusal rights are recorded once and applied automatically.

Quarterly reporting then draws from a single dataset. Fund-level TVPI, DPI and carried interest accruals reconcile to the schedule of investments, and SPV investors see statements in the same format as fund LPs. That consistency matters most when an LP holds interests in several of your vehicles.

Frequently asked questions

How are SAFEs recorded in venture fund accounting?

A SAFE is typically recorded at cost as an investment and carried at fair value under the fund’s valuation policy until it converts. Fundtec tracks each SAFE’s valuation cap, discount and conversion trigger, and when a priced round occurs, records the conversion into preferred shares and updates the cost basis and cap table.

Can Fundtec administer SPVs alongside our main fund?

Yes. Fundtec supports single-deal SPVs and fund-of-one vehicles using a standard template for investor onboarding, closing, fees, carry and bookkeeping. Each SPV keeps its own ledger and bank reconciliation, and year-end tax data is prepared on the same calendar as the main fund so K-1s are not delayed.

Do you track portfolio company cap tables?

Yes. Fundtec maintains the fund’s ownership position in each portfolio company by share class, reconciles it to investment records and updates it after every financing, conversion or secondary sale. The cap table is not a legal register; it is the fund’s internal record used for valuation, reporting and exit modeling.

How is a venture fund different from a private equity fund operationally?

Both are closed-ended and run on capital calls, but venture funds hold more positions, smaller cheques and more non-equity instruments such as SAFEs and notes. They also run more SPVs. Fundtec adjusts the model accordingly: more instrument tracking and cap table work, lighter waterfall complexity, and a template approach to multiple vehicles.

Can you prepare K-1s for our venture fund LPs?

Fundtec prepares the year-end tax data and supports K-1 preparation for US partnership funds and SPVs, working with the fund’s tax preparer who signs the return. Allocations are reconciled to each LP’s capital account first, which reduces amendments after K-1s are issued.

What does a venture fund pay for accounting and operations support?

Pricing depends on the number of vehicles, LPs, portfolio companies and transaction volume, plus whether K-1 support and investor services are included. Funds with many SPVs usually benefit from template pricing per vehicle. Fundtec scopes the engagement after reviewing the fund documents and current workload.
